Welcome to the Tightknit, Inc. (“Tightknit”, “us” “we” or “our”) website. Please read these Terms of Service (the “Terms”) carefully because they govern your use of our websites including tightknit.ai and within our public Slack workspace (“Tightknit Community”).

This Agreement is between Tightknit and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form and (2) the Key Terms, both of which are on the Cover Page below, and (3) the Common Paper Cloud Service Agreement Standard Terms Version 1.1 (“Standard Terms”). Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings or descriptions given in the Cover Page or the Standard Terms.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Cloud Service: Tightknit offers a cloud-based solution for managing a Slack community and connected web forum.

Payment Period: 30 day(s) from Customer's receipt of invoice

Auto-renewal: Non-Renewal Notice Date: at least 30 days before the end of the current Subscription Period.

Professional Services

The Professional Services are: We offer community strategy services to set up and manage interactions with your slack community.

Fees: These are offered at an hourly rate and we tend to limit per customer support to 5 hours a month.

Key Terms

The key legal terms of this Agreement are as follows:

Effective Date: Date of last signature on this Cover Page

Governing Law: The laws of Delaware

Chosen Courts: The courts (whether state, federal, or otherwise) located in Delaware

Provider Covered Claims:Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.

Customer Covered Claims:Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount: 1.0 times the fees paid or payable by Customer to Provider in the 12 month period immediately preceding the claim.

Publicity Rights: Modifying Section 14.7 of the Standard Terms: Provider may identify Customer and use Customer’s logo and trademarks on Provider’s website and in marketing materials to identify Customer as a user of the Cloud Service. Customer hereby grants Provider a non-exclusive, royalty-free license to do so in connection with any marketing, promotion, or advertising of Provider or the Cloud Service during the length of the Agreement.

Acceptable Use Policy

The purpose of Tightknit is to provide a space for sharing insightful, engaging, and professional commentary derived from Slack interactions. All users must:

  • Respect Copyright and Intellectual Property: Only share content that you own or have the right to use and share. Respect the intellectual property rights of others.

  • Ensure Privacy and Confidentiality: Do not share private or confidential information without proper authorization. This includes, but is not limited to, personal data, trade secrets, and any content covered by non-disclosure agreements.

  • Maintain Professionalism and Respect: Engage with others in a respectful and professional manner. Do not post content that is defamatory, obscene, abusive, hateful, or intended to harass or harm another person.

  • Abide by Laws and Regulations: Your use of Tightknit must comply with all local, state, national, and international laws and regulations.

Prohibited Use

Users of Tightknit are strictly prohibited from:

  • Illegal Activities: Engaging in any unlawful activities, including but not limited to fraud, copyright infringement, or the distribution of malware.

  • Harmful or Offensive Content: Posting or sharing content that is violent, pornographic, discriminatory, or in any way promotes hatred against any group or individual.

  • Spamming: Distributing unsolicited or unauthorized advertising, promotional materials, or any other forms of solicitation.

  • Security Breaches: Attempting to probe, scan, or test the vulnerability of the system or network or to breach security or authentication measures.

  • Misrepresentation: Impersonating any person or entity, including, but not limited to, Tightknit employees, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
